Terms of Use

These Terms of Use govern access to and use of skanner.ai and the Skanner services. By accessing or using Skanner, creating an account, submitting information, or otherwise accepting these Terms electronically, you agree to these Terms on behalf of yourself and, if applicable, the business or organization you represent.

Skanner is operated from Miami, Florida, United States and is designed primarily for business users in the U.S. payments and merchant-acquiring ecosystem.

1. Skanner Service

Skanner provides pre-submission document intelligence for merchant onboarding and related review workflows. The service may analyze merchant application documents, identify inconsistencies, anomalies, cross-document relationships, structural or forensic indicators, and other evidence that may warrant review.

Skanner does not make underwriting decisions, approve or decline merchants, guarantee merchant acceptance, certify document authenticity, guarantee that a document is genuine or fraudulent, or replace the judgment of an ISO, agent, merchant broker, analyst, processor, payment service provider, acquirer, sponsor bank, underwriting team, compliance professional, attorney, or other decision-maker.

2. Business Use and Authority

You may use Skanner only for lawful business purposes and only if you have authority to bind the organization on whose behalf you use the service. You are responsible for your users, account credentials, submissions, decisions, and activities conducted through your account.

You represent and warrant that you have all rights, permissions, notices, consents, and lawful authority necessary to upload, submit, disclose, and permit Skanner to process Customer Content as described in these Terms and the Privacy Policy.

3. Customer Content

Customer Content means documents, files, images, data, text, metadata, merchant application materials, and other information submitted to or through Skanner by or on behalf of a customer.

As between the customer and Skanner, the customer retains its rights in Customer Content, subject to the licenses and permissions granted in these Terms. The customer is responsible for the accuracy, legality, quality, and appropriateness of Customer Content and for determining whether it may lawfully be submitted to Skanner.

4. License to Process and Improve Skanner

You grant Skanner a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, transform, extract information from, create derived data from, and otherwise use Customer Content as reasonably necessary to provide, secure, support, maintain, test, develop, calibrate, validate, improve, and expand Skanner and its related technologies.

This permission expressly includes use of Customer Content and information derived from Customer Content to improve Skanner's document-classification methods, forensic detection techniques, deterministic rules, scoring and evaluation methods, artificial-intelligence or machine-learning components, quality controls, testing systems, and other proprietary capabilities.

Skanner may create and use information with identifying details removed, aggregated information, statistical, analytical, or derived information for product development, security, research, benchmarking, service improvement, and business operations, subject to applicable law. Nothing in these Terms requires Skanner to limit Customer Content to one-time processing for the customer's immediate analysis.

5. Skanner Outputs and Decision Responsibility

Skanner outputs are analytical findings and supporting information. They may be incomplete, uncertain, affected by document quality, OCR limitations, image capture, metadata availability, data quality, configuration, software behavior, or other technical and factual limitations.

You are solely responsible for reviewing Skanner outputs and making merchant-submission, underwriting, risk, compliance, onboarding, contractual, financial, or other business decisions. You must not treat a Skanner finding, score, tier, flag, absence of a finding, or other output as a guarantee or conclusive determination.

Skanner is not legal, regulatory, compliance, financial, credit, or underwriting advice.

6. Acceptable Use

You may not:

  • Use Skanner or Customer Content in violation of applicable law or the rights of another person.
  • Submit information that you are not authorized to possess, disclose, or process through the service.
  • Attempt to gain unauthorized access to Skanner, another account, source systems, security controls, or non-public areas of the service.
  • Interfere with, disrupt, probe, scan, overload, or circumvent security, rate limits, access controls, or technical restrictions.
  • Use malware, malicious code, automated abuse, or deceptive means to compromise the service.
  • Reverse engineer, decompile, disassemble, copy, scrape, or attempt to derive Skanner source code, proprietary rules, models, detection logic, or non-public technical methods except to the limited extent such restriction is prohibited by applicable law.
  • Use Skanner to build, train, benchmark, or improve a competing document-intelligence or document-forensics product without Skanner's written permission.
  • Misrepresent Skanner outputs as certifications, guarantees, governmental determinations, or underwriting decisions made by Skanner.

7. Accounts and Security

You are responsible for maintaining the confidentiality of account credentials and for promptly notifying Skanner of suspected unauthorized access or security incidents involving your account. Skanner may require reasonable security measures, authentication methods, or access restrictions as the service develops.

8. Intellectual Property

Skanner and its licensors retain all rights in the Skanner service, website, software, source code, interfaces, designs, workflows, documentation, trademarks, branding, proprietary rules, detection methods, models, scoring methods, derived systems, and other Skanner technology, excluding Customer Content.

Except for the limited right to use the service under these Terms, no Skanner intellectual-property rights are transferred to you.

9. Feedback

If you provide suggestions, ideas, corrections, feature requests, evaluation results, or other feedback concerning Skanner, you grant Skanner the right to use that feedback without restriction or compensation, provided that Skanner's use remains subject to applicable law and confidentiality obligations that expressly apply.

10. Third-Party Services

Skanner may rely on or interoperate with third-party infrastructure, hosting, communications, analytics, payment, software, data, or other service providers. Skanner does not control third-party services and is not responsible for third-party acts, omissions, outages, or terms except as required by applicable law or an express written agreement.

11. Availability, Changes, and Beta or Early Access Features

Skanner may modify, add, suspend, restrict, or discontinue features as the service develops. Early Access, beta, preview, evaluation, or experimental functionality may be incomplete, change without notice, contain errors, or be unavailable at times. Such functionality should not be relied upon as production-ready unless Skanner expressly states otherwise in writing.

12. Fees and Paid Services

If Skanner introduces paid services, applicable pricing, billing intervals, taxes, renewal terms, cancellation terms, and plan-specific conditions will be disclosed at purchase or in an applicable order, subscription, or service agreement. Those commercial terms will supplement these Terms.

13. Confidentiality

Non-public information disclosed by one party to the other that is identified as confidential or that reasonably should be understood to be confidential must be protected using reasonable care and used only for purposes related to the parties' relationship. Confidentiality obligations do not apply to information that is publicly available through no breach, independently developed without use of confidential information, lawfully received without restriction, or required to be disclosed by law, subject to legally permitted notice.

14. Suspension and Termination

Skanner may suspend or terminate access when reasonably necessary to protect the service, address security or legal risk, investigate suspected misuse, enforce these Terms, respond to nonpayment, or discontinue the service. Customers may stop using Skanner at any time, subject to any separate subscription or order terms.

Provisions that by their nature should survive termination, including intellectual-property rights, Customer Content permissions needed for retained information, confidentiality, disclaimers, limitations of liability, indemnity, dispute provisions, and accrued obligations, will survive to the extent applicable.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKANNER AND ALL RELATED SERVICES, OUTPUTS, EARLY ACCESS FEATURES, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." SKANNER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, UNINTERRUPTED AVAILABILITY, AND ANY WARRANTY THAT THE SERVICE WILL IDENTIFY EVERY INCONSISTENCY, FORGERY, ALTERATION, RISK, OR DEFECT.

SKANNER DOES NOT WARRANT THAT A DOCUMENT OR MERCHANT IDENTIFIED AS LOWER RISK IS AUTHENTIC, ACCEPTABLE, COMPLIANT, OR APPROVABLE, OR THAT A DOCUMENT OR MERCHANT ASSOCIATED WITH A FINDING IS FRAUDULENT, UNACCEPTABLE, NONCOMPLIANT, OR SUBJECT TO DECLINE.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKANNER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM OR RELATED TO THE SERVICE, CUSTOMER CONTENT, SKANNER OUTPUTS, OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKANNER'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER TO SKANNER FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. FOR FREE, BETA, OR EARLY ACCESS USE WHERE NO FEES WERE PAID, THE AGGREGATE LIABILITY CAP WILL BE ONE HUNDRED U.S. DOLLARS ($100).

The exclusions and limitations in this section apply only to the extent permitted by applicable law and may be superseded by a separate written agreement signed by Skanner.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Skanner and its owners, officers, employees, contractors, and affiliates from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your Customer Content, your unlawful or unauthorized use of the service, your violation of these Terms, or your violation of another person's rights.

18. Governing Law and Venue

These Terms and disputes arising from or relating to them or the Skanner service are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Unless the parties agree otherwise in writing or applicable law requires a different forum, any judicial action arising from or relating to these Terms or the Skanner service must be brought in a state or federal court located in Miami-Dade County, Florida, and each party consents to personal jurisdiction and venue in those courts.

19. Electronic Communications and Acceptance

You agree that notices, disclosures, agreements, and other communications relating to Skanner may be provided electronically. Electronic acceptance, records, and signatures may be used to form and evidence agreements to the extent permitted by applicable law.

20. U.S.-Focused Service

Skanner is operated from the United States and is intended primarily for U.S. business use. Skanner does not represent that the service is appropriate or legally compliant for use in every non-U.S. jurisdiction. Users are responsible for determining whether their use of the service and submission of information are lawful in the jurisdictions relevant to them.

21. Changes to These Terms

Skanner may update these Terms as the service, commercial model, or applicable law changes. Material changes will be communicated in an appropriate manner. Changes will apply prospectively from the stated effective date unless applicable law requires otherwise.

22. General

If a provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the extent permitted by law. A failure to enforce a provision is not a waiver. You may not assign these Terms without Skanner's written consent, except as permitted in a separate written agreement. Skanner may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the service.

These Terms, together with the Privacy Policy and any applicable order, subscription, or written service agreement, constitute the agreement governing the subject matter they address. If a signed written agreement directly conflicts with these Terms, the signed agreement controls for that conflict.
